Order Agreement:
By placing an order, the buyer acknowledges and accepts the following terms and conditions.

Payment Terms:
All transactions require prepayment or payment upon pickup unless credit arrangements have been previously made. New customers must complete a credit application to be considered for terms. Customers with approved credit will be billed on net 30-day terms. Any past-due balances may incur a finance charge of 1.5% per month (18% annual rate).

Order Fulfillment:
We strive to fulfill all confirmed orders; however, plant availability may vary due to unforeseen crop failures or shortages. All acknowledgments are based on field estimates. We do not provide any guarantee, expressed or implied, regarding plant survival or performance.

Substitutions:
Due to variable seasonal growing conditions, we reserve the right to substitute plant material with a grade one size up or down, at the current pricing, without prior notice. If substitutions are not acceptable, please clearly indicate this when placing your order.

Pricing:
Prices listed are wholesale and intended for licensed nursery professionals. This pricing supersedes any previous price lists. All prices are FOB (freight on board) from our location in Forest Grove, Oregon, and are subject to change without prior notice.

Claims & Returns:
We take care to ensure accurate labeling and grading but cannot be held liable beyond the purchase price of the plant material. Claims related to shortages, damages, or quality concerns must be submitted in writing within five (5) days of receipt and must include a signed delivery receipt from the carrier and three supporting photos (one showing the issue clearly, one of the whole plant, and one of the rootball or container). All disputed items must be held for our review or further instructions. For shipping-related claims, issues must be documented on the Bill of Lading and reported to the carrier immediately, with a copy forwarded to us. Liability is strictly limited to the cost of the item(s) purchased.

Cancellations:
Orders scheduled for future shipment must be canceled no later than 14 days prior to the scheduled ship date.
